Issue of Equity
On 17 April 2025 The Law Debenture Corporation p.l.c. (the "Corporation") issued 60,000 new ordinary shares of 5 pence each at a price of (1) £8.65 per share for 30,000 shares and (2) £8.675 per share for 30,000 shares under its block listing facility; these shares rank pari passu with the existing ordinary shares in issue. The issue price equates to a premium to the net asset value per share at the time of the relevant transactions. Following the issuances, the Corporation has the ability to admit a further 10,650,000 ordinary shares under its block listing facility.
As a result of the issuances, the total number of ordinary shares in issue now stands at 132,980,755 and the total number of voting rights in the Corporation is 132,980,755. There are no shares held in treasury.
The above figure of 132,980,755 may be used by shareholders as the denominator for the calculation by which they may determine if they are required to notify their interest in, or change to their interest in, the Corporation under the FCA's Disclosure Guidance and Transparency Rules.
